Legal
Terms
Last updated November 1, 2026
These terms apply to live sound, rental, and AV design and programming services from KCG Sound, a sole proprietorship owned by Kerby Gerughty in Los Altos, California ("KCG Sound," "I," "me"), and to your use of this website. By submitting the quote form, accepting a quote, or paying a deposit, you ("you," "client") agree to these terms. If a written quote or invoice says something different, the quote or invoice controls for that job.
1. Quotes and booking
- Quotes are written and itemized, and are valid for 30 days unless the quote says otherwise.
- Prices on this website can change. The price in your accepted quote is the price for your job.
- A date or project is confirmed only once the quote is accepted and the deposit is paid.
- Live sound and engineer time have a 4-hour minimum. Travel and delivery are quoted separately.
2. Payment
- A 50% deposit is due when you accept a quote. The balance is due within 15 days of the invoice, unless the quote sets a different due date.
- Payment by check (payable to Kerby Gerughty dba KCG Sound), cash, Venmo, or card by payment link. Card payments carry a 3% fee.
- Overdue balances accrue a late fee of 1.5% per month.
3. Cancellations and changes
- Events and rentals: cancel 30 or more days before the date and your deposit is refunded, minus any card processing fees. Cancel inside 30 days and the deposit is kept.
- AV systems: equipment ordered for your project that is cancelled or returned carries a 50% restocking fee. Work already done is billed.
- If I have to cancel for any reason, you get a full refund of what you paid. My responsibility is limited to that refund.
- Changes to a date or scope depend on availability and may change the price.
4. Rental equipment
- Rentals are delivered and set up by me. The full d&b system only goes out with me operating it.
- You're responsible for the equipment from delivery until I pick it up. Damage beyond normal wear, theft, or loss is billed at repair or replacement cost.
- Keep equipment dry, out of direct sun and weather, and away from food and drinks. Don't open, modify, move between venues, or lend out the equipment.
- You must provide safe, properly grounded power and a safe place to set up. I can refuse or stop setup if conditions are unsafe for people or equipment.
- Equipment is returned at the agreed pickup time. Late returns are billed at the daily rate.
5. Events and venues
- You're responsible for venue approval, access, load-in times, parking, and any permits.
- You're responsible for complying with venue rules, noise limits, and curfews.
- For outdoor events, you must provide cover from rain and direct sun. If weather makes it unsafe to keep equipment running, I may stop. That isn't a cancellation by me, and the booking is still owed.
- I may stop work if the environment becomes unsafe, including threats or harassment toward me.
6. AV system design and programming
- The work is what's described in the written quote. Anything else is extra and quoted separately.
- Work that requires a permit or a contractor's license, including electrical work and permanent wiring, is not included.
- My workmanship is warrantied for 90 days from completion. Equipment is covered by the manufacturer's warranty, not by me.
- Programming and control files I create remain my property. You get a license to use them for your system.
7. Limitation of liability
To the fullest extent allowed by law:
- My total liability for any claim related to a job is limited to the amount you paid me for that job.
- I'm not liable for indirect or consequential losses, including lost profits, lost ticket sales or event revenue, or the cost of a replacement vendor.
- I'm not responsible for delays or failures caused by things outside my reasonable control, such as power outages, weather, illness, venue problems, or acts of authorities.
Nothing in these terms limits liability for fraud, willful misconduct, gross negligence, or anything else that can't be limited under California law.
8. Your responsibilities
You agree to cover claims, damages, and costs arising from your event, your venue, your guests, or your misuse of rental equipment, except to the extent they were caused by my negligence or misconduct.
9. Using this website
- The website is provided as is. I try to keep it accurate, but prices, gear, and availability can change without notice.
- Product and company names on this site are trademarks of their owners and are used only to describe equipment and training. KCG Sound isn't affiliated with or endorsed by them.
- Don't misuse the site or the quote form, including sending spam or attempting to break the site.
- How I handle your information is covered in the Privacy Policy.
10. General
- These terms are governed by California law. Disputes are handled in the courts of Santa Clara County, California.
- If any part of these terms can't be enforced, the rest still applies.
- I may update these terms. The version in effect when you accepted your quote applies to that job.
